Nebius is selling $4.5 billion of convertible senior notes to finance the development of data centers to meet surging demand for GPU capacity. Shares of the company declined 7% in premarket trading following the announcement of the offering.
The raise follows the approval of a 300 MW data center in Vineland, New Jersey, which is part of a compute supply contract with Microsoft valued at up to $19.4 billion. Some market participants have characterized the $4.5 billion issuance as a "monster convert," noting that the company's stock volatility serves as an asset in the pricing of the notes.
