Anthropic's seven co-founders would retain majority voting control after its IPO through a new Founder LLC directing a single Class F share with 50.1% of voting power over key corporate matters. The prospectus warns that the structure could produce decisions that conflict with shareholders' financial interests. The governance provisions accompany at least $518 billion in planned cloud, compute and infrastructure spending over a decade, with about $413.7 billion, or 80%, owed regardless of usage, averaging roughly $41 billion a year. Broadcom chip leases, mainly for TPUs, account for the largest single block at $161.2 billion, payable even if the capacity sits idle.
