Nebius will issue $2.75 billion in convertible notes due 2030 and $1.75 billion due 2034 to fund its technical scaling. Investor options may increase the total funding to $5.175 billion through additional allotments of $375 million and $300 million for the respective notes, totaling a base offering of $4.5 billion.
The company will use the capital to buy GPUs and other critical components, build and expand data centers, and develop its full-stack AI cloud.
Interest rates, conversion prices, and accretion terms will be finalized once the offering is priced. The move is part of a series of infrastructure raises intended to scale the company's compute capacity to meet artificial intelligence demand.
